1. What is Cryoforce? Cryoforce is a Missouri limited liability (L.C.) corporation.
2. What do you need to begin to offer cryogenic processing services?
3. Where can the required equipment and supplies be obtained? There are several equipment manufacturers. We'll gladly identify sources if you wish. However, Cryoforce builds cryogenic freezers ovens, collectively known as "the cryo boxes." 4. Why should you participate in the Cryoforce Licensing Program? By participating in the Cryoforce licensing program you will add cryogenic processing to your present array of services, thereby providing a value added service to your customers. Ultimately, this will add to your bottom line profits. The Cryoforce licensing program provides ongoing marketing support and a protected territory to market your services. 5. What help will you received from Cryoforce in starting your Cryogenic Process Service? Cryoforce will sell you cryo boxes at a competitive prices (FOB Lenexa, Kansas, freight collect) manufactured in accordance with Cryoforce specifications. If you desire to purchase your cryo box from another manufacturer, Cryoforce will deliver the specifications. Cryoforce will provide two days of operations training, delivery and setup the cryoboxes at your plant, 4 days of operations and marketing training at your location, use of the confidential operating manual and budget counseling. 6. What ongoing services will Cryoforce provide you in support of your Cryogenic Processing Program? Cryoforce has developed collateral material for marketing and promotional purposes, will publish advertising, negotiate nitrogen gas contracts, refer to leads in your established territory, conduct research and development, provide continuous operational and sales supports, provide reasonable field sales support,a and provide periodic training programs. 7. Why should you market cryo boxes, not just provide cryogenic processing services? Larger customers may have the need for onsite cryoboxes. You can sell and service boxes creating another revenue stream for your business. 8. What will it cost you to purchase a license from Cryoforce? Please contact our Jeffrey Winkel for information concerning our fees. 9. What ongoing fees must you pay to Cryoforce? Please contact our Jeffrey Winkel for information concerning our fees. 10. Why must your cryoboxes conform to Cryoforce specifications? Uniformity will expedite research and development efforts, provide ease of troubleshooting, simplify obtaining contracts and expedite system wide application of equipment and process improvements. 11. How will system advertising fees be used and accounted for? All system advertising fees received by Cryoforce licensees will be credited to the System Ad Fee Account. The account will be used for only advertising promoting the cryogenic processing and cryo box marketing business of the Cryoforce network. 12. Will you be provided exclusive rights? You will receive an "assigned" territory. That territory will consist of one or more specific counties or ZIP code sand each assigned territory will have 100,000 manufacturing jobs. No other Cryoforce licensees will share or overlap your assigned territory. 13. What rights will you have to use the Cryoforce name and marks? You may publicize the fact that you are a Cryoforce licensee, however you will be prohibited from using the Cryoforce name or any of this marks as part of your corporate or trade name. 14. What obligations will you have in addition to payment of fees? You will acquire cryo boxes that are manufactured in accordance with Cryoforce specifications, contribute to the Cryoforce application and marketing data base, have one supervisor in charge of Cryoforce processing training approved by Cryoforce, continiously maintain cryo boxes and other equipment to the satisfaction of Cryoforce, satisfy Cryoforce quality controls offer your customers unconditional warranties, and have employees sign non-compete and confidentiality agreements. 15. What will be the length of the terms of your license? Your initial term will be for three years, and you will be entitled to renew your license agreement five times for a five-year period each time. 16. What will be your renewal rights? Renewal will be subject to certain conditions such as: Satisfaction of performance standards, satisfaction of compliance with the Cryoforce Confidential Operating Manual, execution of the standard form of Cryoforce, and payment of 1.9% of the initial licensing fee of $1,000 renewal fee, whichever is greater. 17. What restrictions will you have following the termination or expiration of your license agreement? You are prohibited from engaging in the cryogenic processing business and from marketing cryo boxes for two years after the termination or expiration of your license agreement. 18. What criteria must you satisfy to become Cryoforce Licensee? Each licensee must have been in business for at least two years. Total volume of business from all sources of income must exceed a certain dollar amount. The volume of business during the first year of the term will not exceed twenty percent of the total volume as stated above. (Accounting records are sufficient to substantiate all reports.) This process will enhance your existing products and/or services in similar fashion. The above information is intended as a summary only.
